1. Agreement
By requesting access, accepting an invite, or using Formius, you agree to these Platform Terms between you (and, if applicable, the organisation you represent) and Formius(“Formius”). If you use Formius for an organisation, you represent that you are authorised to bind that organisation.
2. The service
Formius provides software for trade and related operations (including quotes, jobs, documents, client portal, and related features). Access is invite-gated — Formius is not an open self-serve public SaaS signup product. Features may change as we improve the platform; we will not remove core paid capability without reasonable notice to design partners except for security or legal reasons.
3. Accounts and security
- Keep credentials confidential; you are responsible for activity under your account.
- Owners, admins, and platform console operators must complete multi-factor authentication where Formius requires it.
- Do not attempt to bypass tenancy, rate limits, or access controls.
4. Customer data
Your organisation owns its customer and operational content. You grant Formius a limited licence to host, process, and display that content to provide the service and, where your DPA Schedule A applies, to analyse operational and commercial performance metrics for organisation, platform, and de-identified industry insight as described in our Security FAQ. Our Privacy Policy and (where executed) DPA describe personal information handling. You must have a lawful basis to upload client and staff personal information.
5. Acceptable use
You must not use Formius to:
- violate law or third-party rights;
- transmit malware or probe systems without authorisation;
- send spam or unlawful marketing through platform channels;
- misrepresent Formius certifications (we are not SOC 2 / ISO certified unless stated).
6. Third-party services
Optional integrations (for example Xero, Stripe, Formodus, email delivery, AI assist) are subject to those providers’ terms. Subprocessors are listed at /subprocessors.
7. Fees
Design-partner and commercial fees are as agreed in your order form, schedule, or written proposal. Unpaid amounts may result in suspension after notice.
8. Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only for the relationship. Portal tokens and credentials are confidential.
9. Warranties and disclaimers
Formius is provided with reasonable skill and care for invite-gated production use. Except as required by the Australian Consumer Law (or other non-excludable rights), Formius is provided “as is” without warranties of uninterrupted or error-free operation. You remain responsible for trade, licensing, and professional compliance in your jurisdiction.
10. Liability
To the extent permitted by law, Formius’s aggregate liability arising from these terms in any 12-month period is limited to the fees paid by your organisation to Formius for the service in that period (or AUD $1,000 if greater and no fees apply). We are not liable for indirect or consequential loss. Nothing excludes liability that cannot be limited by law.
11. Suspension and termination
Either party may terminate as agreed commercially. We may suspend for security risk, non-payment, or material breach. On termination, you may request export of organisation data within a reasonable period; we will delete or return per our runbooks and DPA.
12. Governing law
These terms are governed by the laws of Queensland, Australia. Courts of that jurisdiction have non-exclusive jurisdiction, subject to any mandatory consumer protections.
